PLATYPUS PARTNERS PTY LIMITED SOFTWARE LICENCE AGREEMENT FOR JET API 6530 TERMS AND CONDITIONS

Licence Grant

Platypus Partners Pty Limited grants to the individual and/or Corporation downloading the demonstration software, hereinafter referred to as the "Customer", licence to use the Software JET API 6530 subject to the Customer complying with the terms of this Agreement.

Intellectual Property Rights

The Software JET API 6530, and any copies that you are authorized by Platypus Partners to make, are the intellectual property of and are owned by Platypus Partners Pty Limited. The structure, organization and code of the Software JET API 6530 are the valuable trade secrets and confidential information of Platypus Partners Pty Limited. The Software JET API 6530 is protected by copyright, including without limitation by Australian Copyright Law, International treaty provisions and applicable laws in the country in which it is being used. You may not copy the Software JET API 6530, except as set forth in Clause "Copies and Adaptations". Any copies that you are permitted to make pursuant to this Agreement must contain the same copyright and other proprietary notices that appear on or in the Software JET API 6530.

Further, you agree not to modify, adapt or translate the Software JET API 6530. You also agree not to re-produce, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software JET API 6530 except to the extent you may be expressly permitted to decompile under applicable law, it is essential to do so in order to achieve operability of the Software JET API 6530 with another software program, and you have first requested Platypus Partners to provide the information necessary to achieve such operability and Platypus Partners has not made such information available. Platypus Partners has the right to impose reasonable conditions and to request a reasonable fee before providing such information. Any information supplied by Platypus Partners or obtained by you, as permitted hereunder, may only be used by you for the purpose described herein and may not be disclosed to any third party or used to create any software which is substantially similar to the expression of the Software JET API 6530. Except as expressly stated above, this Agreement does not grant you any intellectual property rights in the Software JET API 6530.

Copies and Adaptations

The Customer may make copies or adaptations of the Software JET API 6530 only when this is an essential step in the authorised use of the Software JET API 6530. The Customer may not redistribute or resell the Software JET API 6530.

Limited Warranty

The demonstration software JET API 6530 is provided to you on an "as is" basis without any warranty of any nature. Platypus Partners Pty Limited disclaims all other warranties, express or limited, including: (a) the implied warranties of merchantability and fitness for a particular purpose, and (b) non-infringement. Platypus Partners Pty Limited does not warrant that the software will be free from errors or operate without interruption.

Liability Limitations; Exclusive Remedies

Platypus Partners Pty Limited and it's affiliates, shall not be liable for any damage or loss, whether direct, indirect, special or consequential (including lost profits), arising out of or resulting from your possession or use of the software (including data loss or corruption), regardless of whether such liability in tort, contract or otherwise. If the foregoing limitation is held to be unenforceable, the maximum liability to you shall not exceed the amount of the licence fees paid by you for the software. The remedies available to you under this agreement are exclusive. Some countries do not allow the limitation or exclusion of implied warranties or liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you.

Miscellaneous

Australian Law shall govern the interpretation and enforceability of this Agreement. This Agreement and your right to use this Demonstration Software, will terminate upon your breach of this Agreement. If any provision of this Agreement is held to be unenforceable, then such unenforceable provision shall be deemed stricken from this Agreement, and the remaining provisions shall be enforced in accordance with their terms. In the absence of a written agreement signed by you and Platypus Partners Pty Limited, this Agreement is the complete Agreement between you and Platypus Partners Pty Limited with respect to the Demonstration Software. This Agreement expressly supersedes and replaces any other licence agreement for the Software, including but not limited to any agreement appearing in any user's manual, with the exception of any agreement for the Software which is in writing and signed by both you and Platypus Partners Pty Limited.

Termination

The Demonstration Software JET API 6530 has a built-in expiry date, and may not be used past that date.

Further, Platypus Partners Pty Limited may terminate the Customer licence upon notice for failure to comply with any of the Licence Agreement Terms and Conditions. Upon termination the Customer must immediately destroy the Software JET API 6530 and any copies or adaptations in any form.

INSTALLING, AND/OR USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THIS AGREEMENT.
